CLOUD SERVICES AND SUPPORT AGREEMENT (SLA) Commencement date: 20 January 2026. Review date: 20 July 2026. Provider: Helios Cloud Operations. Customer: Farid Logistics International. 1. SERVICE COMMITMENT The Provider commits to 99.9% monthly avail ability for the production environment and to a four-hour response objective for priority-one incidents. 2. AVAIL ABILITY ADJUSTMENT Where avail ability falls below the commitment in a given month, the Customer may claim an avail ability adjustment of 10% of the monthly fee for each 0.1% shortfall, calculated on the verified monitoring records of both parties. 3. PAYMENT Invoices are issued monthly and are payable net 15 from the invoice date. Interest accrues on any late payment at 1.5% per month until the balance is settled. 4. LI ABILITY The Provider shall be liable for direct damages only. The maximum li ability of the Provider is limited to the fees paid in the three months preceding the claim, and this limitation of li ability applies to all claims. The Customer shall indemnify the Provider against third-party claims arising from Customer content hosted on the platform. 5. TERMINATION Either party may terminate this Agreement for convenience by giving sixty (60) days written notice. The notice period may not be shortened, and the Provider shall export all Customer data within fourteen days of the effective termination date. 6. CONTINUATION The Agreement continues for a further twelve-month extension period only where both parties confirm continuation in writing before the review date. 7. CONFIDENTIALITY Both parties shall treat the commercial terms of this Agreement as confidential information. Signed on 20 January 2026. 8. GOVERNING LAW This Agreement is governed by the applicable law of the Republic of Cyprus, and the courts of Nicosia have exclusive jurisdiction over any dispute.
